Terms of Service

By using this website or engaging services advertised through the AI AutoMationNY domain, you agree to these Terms of Service. If you don't agree, please don't use our site or services.

AI AutoMationNY (aiautomationny.com) is a promotional website and brand name owned and operated by Universal Tech Inc., a New York State corporation. AI AutoMationNY is not a separate legal entity. These terms form a binding agreement between you (the 'Client') and Universal Tech Inc. (the 'Provider'). 'AI AutoMationNY' is a trade name and promotional designation of Universal Tech Inc. — all contracts, invoices, and legal agreements are with Universal Tech Inc. We may update these terms from time to time; continued use of our services after a change constitutes acceptance of the updated terms.

Universal Tech Inc., operating under the promotional brand name AI AutoMationNY, provides AI automation services including but not limited to:

• Custom AI agent design, development, and deployment
• Workflow automation engineering across CRM, accounting, and collaboration tools
• Robotic process automation (RPA) for invoice processing, data entry, and reporting
• AI consulting including audits, roadmaps, training, and governance
• Ongoing monitoring, prompt tuning, and optimization on a retainer basis

Every engagement is defined in a written Statement of Work (SOW) agreed before work begins. The SOW includes scope, deliverables, timeline, pricing, payment terms, and acceptance criteria. If anything is unclear in an SOW, please raise it before signing — we don't want surprises any more than you do.

Any work outside the SOW is billable at our standard hourly rate ($200/hour) unless agreed in writing beforehand. We will always tell you before incurring out-of-scope work.

Pricing tiers are listed publicly on our Pricing page. Specific engagement pricing is set in the SOW. NYC businesses located in the 5 boroughs receive a 25% discount on the SOW total. Veterans receive a 50% discount on the SOW total. Discounts cannot be combined.

Payment terms: 50% deposit due on SOW signature, 50% due on delivery of the SOW deliverables. Monthly retainers are billed in advance on the 1st of each month. Rush delivery (7 calendar days) adds 20% to the tier price.

Late payments accrue interest at 1.5% per month. We reserve the right to suspend support if an invoice is more than 30 days overdue — though we'd rather talk to you first.

We commit to deploying single-agent builds in 7–14 calendar days from kickoff (the 'NYC Speed Guarantee'). The clock starts when the kickoff call is completed and we have access to the systems in scope. If we miss this deadline through our own fault, we'll refund 10% of the engagement fee per day late, up to 50% of the total.

The guarantee does not apply when delays are caused by the Client (unanswered emails, missing access, unavailability for review). We'll flag any delay in writing within 24 hours of noticing it.

To make an engagement successful, you agree to:

• Provide timely access to the systems, data, and people we need (typically within 48 hours of a request)
• Attend scheduled demos and review sessions (we'll find times that work)
• Provide prompt feedback on prototypes and deliverables (within 3 business days)
• Designate a single point of contact for engagement decisions
• Pay invoices on time per the SOW
• Treat our team with respect (we'll do the same)

You retain all rights to your data, your brand, and any custom work we build for you on engagement. We assign all IP rights for the deliverables to you on full payment of the SOW.

We retain rights to any pre-existing tools, frameworks, or methodologies we bring to the engagement (we'll list them in the SOW). We also reserve the right to reference the engagement in our portfolio and case studies, unless you explicitly request otherwise in writing.

We treat all information you share with us as confidential. We sign your NDA before kickoff if you have one (we have our own if you don't). Confidentiality obligations survive the end of the engagement for 5 years.

We never share your confidential information with other clients, prospective clients, or third parties without your explicit written consent. We do share anonymized patterns (e.g., 'NYC law firms typically save 20+ hours/week') — never your name or data.

For engagements involving HIPAA, FINRA, SEC, SOC 2, or other regulatory regimes, we sign the appropriate BAAs / DPAs and operate within your compliance boundary. Compliance review is a required step in the deployment process for these engagements.

We are SBA-certified Service-Disabled Veteran-Owned Small Business (SDVOSB) and New York State Certified SDVOB. Compliance documentation is available on request.

We warrant that our services will be performed in a professional, workmanlike manner consistent with industry standards. If you identify a defect in delivered work within 30 days of delivery, we will fix it at no cost.

We do not warrant specific business outcomes (revenue, hours saved, etc.). Any projections in our SOWs are estimates based on our experience with similar engagements, not guarantees.

Our total liability for any claim arising from an engagement is limited to the fees you paid us for that engagement in the 12 months preceding the claim. We are not liable for indirect, incidental, consequential, or punitive damages.

This limitation does not apply to damages caused by our gross negligence, willful misconduct, or breach of confidentiality obligations.

You can cancel an engagement with 30 days' written notice. You'll be billed for work completed up to the cancellation date. The deposit is non-refundable once kickoff has occurred (we've already committed engineering capacity).

If we fail to deliver the SOW scope and you cancel in writing within 60 days of the missed deadline, we will refund the unearned portion of your deposit. We don't want to keep money we didn't earn.

Our services often involve third-party tools (Zapier, Make, n8n, OpenAI, Anthropic, Stripe, Slack, Salesforce, etc.). You are responsible for your own accounts and subscriptions with these tools — we don't host your automations in our environment unless explicitly agreed.

Third-party usage fees (API calls, SMS, email, AI tokens, etc.) are billed separately by the providers and are not included in our pricing.

We may update these terms from time to time. We'll post the updated version here and update the 'Last updated' date at the top. For material changes, we'll notify current clients by email at least 30 days before the change takes effect.

These terms are governed by the laws of the State of New York, without regard to its conflict-of-laws principles. Any disputes will be resolved in the state or federal courts located in New York County, New York. Both parties agree to submit to the personal jurisdiction of these courts. We'll attempt to resolve disputes informally first (good-faith email + a call) before any legal action.
